These Terms of Service (the "Terms") govern your use of the TradeBound desktop software (the "Software"), the TradeBound community, streams, and related services (together, the "Services"), operated by [LLC NAME], an Indiana limited liability company doing business as TradeBound ("TradeBound," "we," "us"). By creating an account, purchasing a membership, or using the Services, you agree to these Terms.
1. What TradeBound is — and is not
TradeBound provides software and education about trading behavior and discipline. The Software monitors your own trading activity (by reading your trading platform's local fill log), measures it against rules you define, enforces limits you choose to arm — including closing your trading platform and triggering your platform's own flatten hotkeys — and provides tools to review your own past trades.
TradeBound is not investment advice. We are not a broker-dealer, investment adviser, or financial planner, and we are not registered with the SEC, FINRA, CFTC, NFA, or any similar body. Nothing in the Services — including scores, analytics, clips, streams, community discussion, or any statement by TradeBound or its members — is a recommendation to buy, sell, or hold any security, future, or other instrument, or a prediction of market movement. You are solely responsible for your own trading decisions and their outcomes.
Risk disclosure. Trading involves substantial risk of loss and is not suitable for everyone. Past performance, whether real or simulated, and whether of any member, moderator, or presenter, is not indicative of future results. Never trade with money you cannot afford to lose.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for your account credentials and for all activity under your account. One account per person; accounts and license keys may not be shared. Provide accurate information and keep it current.
3. Membership, billing, and refunds
- The Services are sold as a subscription membership through our payment/community platform provider. Prices, tiers, and included features are described at checkout and may change for new billing periods with notice.
- Subscriptions renew automatically each billing period until cancelled. You can cancel anytime, effective at the end of the current period.
- Refunds: within 14 days of your first purchase, we will refund your first payment in full on request — email support@tradeboundtrading.com. Renewal payments are non-refundable except where required by law. [CONFIRM: matches the platform's refund mechanics.]
- Founding-member or promotional pricing applies for as long as the subscription remains continuously active; cancellation ends the promotional rate.
4. Software license
Subject to these Terms and an active membership, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Software on up to [2] Windows devices you own or control, for your own personal trading review. We may verify your license over the internet; short offline grace periods are supported.
You may not: (a) copy, distribute, resell, rent, or sublicense the Software; (b) reverse engineer, decompile, or attempt to derive its source code, models, or scoring methods except where the law forbids this restriction; (c) circumvent license enforcement; (d) use the Software to build a competing product; or (e) use another person's license.
The Software may automatically download and install updates. The license ends when your membership ends or these Terms are terminated; upon termination you must uninstall the Software.
5. Your data and local processing
The Software captures and analyzes your trading screen locally on your device. Your screen contents are not transmitted to us. Diagnostic data (such as crash reports) and account data are handled as described in the Privacy Policy, which is part of these Terms.
You retain ownership of your own trading data and review notes. You grant us a license to process data as needed to operate the Services.
5A. Enforcement features — read this section carefully

The Software includes features that, when you configure and arm them, take real actions on your computer: closing your trading platform when a hard limit you set is breached (including re-closing it if relaunched, via a background guard service), locking settings for the day, and triggering your trading platform's own flatten hotkeys when the software stop-loss you configured fires.
By arming these features, you acknowledge and agree that:
- You choose the rules and you arm the locks. Enforcement acts only on limits, tiers, unlock methods, and guards you configured. Nothing can close your platform until you deliberately arm Strict Lock.
- Enforcement can act at inconvenient moments by design — including while you hold an open position and regardless of whether you are up or down on the day. Managing or closing open positions before or during a lockout (for example, through your broker's other apps or by phone) is your responsibility.
- The software stop-loss is not a broker or exchange order. It reacts to quotes displayed on your machine, requires your computer and platform session to be running, and can be affected by latency, data issues, hotkey misconfiguration, platform changes, crashes, or power loss. It may fire later than a resting order would have, or fail to fire at all. It is a discipline aid to be used alongside protective orders at your broker, never as a substitute for them.
- Fill-log reading depends on your platform. Detection of trades depends on your trading platform writing its fill log in an expected format and on your configuration; counts, P&L, and triggers may be inaccurate if that changes.
- You assume the risk of losses, missed exits, missed entries, or other consequences arising from enforcement actions, stop-loss behavior (firing, not firing, or firing late), lockouts, or detection inaccuracies, to the maximum extent permitted by law and subject to Section 10.
6. Community rules
The community (chat, streams, events) is for education and review. You agree not to: post investment advice or trade signals presented as advice; harass or abuse members; share other members' private information; post unlawful content; solicit members for outside services; record or redistribute streams or community content without permission; or make performance claims you cannot substantiate. We may remove content and suspend or ban accounts that break these rules, with or without refund depending on severity. [ATTORNEY: review moderation/refund discretion.]
7. Intellectual property
The Software, site, brand, content, streams, and materials are owned by TradeBound or its licensors and protected by IP laws. Except for the limited license above, no rights are granted. Feedback you provide may be used by us without restriction or compensation.
8. Third-party services
The Services rely on third-party providers (payments/community platform, crash reporting, email). Their terms govern their services; we are not responsible for third-party services.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT TRADE DETECTION, COUNTS, SCORES, RECORDINGS, ENFORCEMENT ACTIONS, THE SOFTWARE STOP-LOSS, OR ANALYTICS WILL BE ACCURATE, COMPLETE, TIMELY, OR UNINTERRUPTED, OR THAT THE SOFTWARE WILL WORK WITH EVERY TRADING PLATFORM OR CONFIGURATION. THE SOFTWARE CURRENTLY SUPPORTS SPECIFIC TRADING PLATFORMS ONLY (SEE THE SITE FOR THE CURRENT LIST).
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) WE ARE NOT LIABLE FOR TRADING LOSSES, LOST PROFITS, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations; these apply to the fullest extent permitted.
11. Indemnification
You will indemnify and hold TradeBound harmless from claims arising out of your violation of these Terms, your content, or your trading activity.
12. Termination
You may stop using the Services anytime. We may suspend or terminate access for breach of these Terms, unlawful behavior, or non-payment. Sections that by nature survive (IP, disclaimers, liability limits, disputes) survive termination.
13. Governing law and disputes
These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-laws rules. 14. Changes
